Healflow - Client Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Healflow website, mobile application(s), and associated services (together, the "Services") operated by Badgerauth Private Limited ("Healflow", "we", ', "us" ', or "our"), a company registered in India.
Please read these Terms carefully. By using the Services, registering an account, or otherwise interacting with Healflow, you agree to be bound by these Terms and our Privacy Policy (which is incorporated herein by reference). If you do not agree to these Terms, please do not use the Services.
No Medical Advice
The Services, including content, insights, feedback, or suggestions, do not constitute or substitute for professional medical advice, diagnosis, or treatment. Healflow is a digital platform designed to support your wellness journey through self-tracking, education, and digital tools.
Any support, guidance, or content provided is for informational and wellness purposes only and must not be treated as a substitute for consultation with licensed healthcare professionals.
You should always consult with your doctor or mental health professional for medical decisions, diagnoses, or treatment plans. Do not delay seeking medical care based on anything you’ve read or received through the Services.
Terms of Use
This Policy is incorporated by reference into our Terms of Use, and should be read alongside them.
Not for Emergency Use
Healflow is not an emergency service.
If you are experiencing a crisis or mental health emergency, please immediately contact a licensed mental health professional, go to the nearest hospital, or call local emergency services (e.g., 112 in India).
If you are at risk of harming yourself or others, stop using the Services and seek immediate help through appropriate medical, governmental, or non-profit crisis services.
Your Relationship with Your Healthcare Provider
Healflow is a technology platform that enables users and licensed providers (such as therapists) to interact, communicate, or exchange insights. We are not a healthcare provider, and we do not establish or control the provider-patient relationship.
All healthcare decisions, including the use of any tools like session transcription, lie solely with your provider. Questions regarding diagnosis, medication, or treatment must be directed to your provider or clinician.

We may change, suspend, or discontinue any part of the Services at any time, with or without notice. Healflow is not liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.
Eligibility
You must be at least 18 years of age to use the Services. By using the Services, you confirm that:
You are at least 18 years old
You have not been previously barred from using similar services under applicable law
Your use of the Services complies with local laws and regulations in your jurisdiction
Use of the Services is void where prohibited.
Intellectual Property and Ownership
All rights, titles, and interests in and to the Services, including but not limited to code, content, design, features, and trademarks, are owned by or licensed to Badgerauth Private Limited and are protected under applicable intellectual property laws.
You receive a limited, non-exclusive, non-transferable license to use the Services solely for personal, non-commercial use, subject to these Terms. You may not copy, modify, distribute, sell, reverse-engineer, or create derivative works based on any part of the Services.
User-Generated Content
a. Your Responsibility
If you post, share, upload, or submit any content through the Services ("User Content"), you are solely responsible for that content. You must ensure it is lawful, does not infringe on any rights, and complies with these Terms
b. License Grant to Healflow
By submitting User Content, you grant Healflow a worldwide, royalty-free, perpetual, non-exclusive license to use, modify, display, reproduce, and distribute such content in connection with the Services, including for internal research, product improvement, or communication purposes.
This license survives even if you stop using the Services or delete your account.
Content Availability and Moderation
Healflow reserves the right to:
Remove or edit User Content at our sole discretion
Restrict access to content that violates these Terms or is otherwise objectionable
Decline to publish or display content without explanation
We do not guarantee that any content, including user-generated or provider-shared content, will remain available through the Services.
Prohibited Conduct
As a user, you agree not to:
Violate any laws, regulations, or third-party rights
Submit false, misleading, or harmful information
Harass, threaten, defame, or abuse others
Upload or share sexually explicit, offensive, or violent material
Use the Services for commercial purposes without authorization
Introduce malware, bots, or disruptive software
Bypass or attempt to bypass security measures
Copy or scrape content from the Services
Healflow reserves the right to investigate and take appropriate legal action against anyone who violates these restrictions.
Restrictions on Use
• You may not directly or indirectly:
Reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying algorithms of the Services (unless required by law).
Modify, translate, or create derivative works of the Services.
Copy, rent, lease, distribute, or transfer any rights granted to you.
• You must comply with all applicable local, state, national, and international laws when using the Services.
Company’s Rights to Access and Disclosure
Healflow reserves the right to access, read, preserve, and disclose your information if reasonably necessary to:
Comply with laws, regulations, or legal processes.
Enforce these Terms, including investigating violations.
Detect or prevent fraud, security issues, or technical problems.
Respond to user support requests.
Protect rights, property, or safety of Healflow, users, or the public.
Platform and Device Compatibility
Services rely on your personal computer, mobile device, or the Healflow app.
Compatibility with your device is not guaranteed.
The license you receive is not a sale of the app; Healflow and licensors retain ownership of all mobile applications.
Respond to user support requests.
Carrier data charges may apply when using mobile devices.
Session Transcription
Sessions may be transcribed using secure audio tech to assist healthcare providers with clinical documentation.
Audio is temporary and not stored.
Providers must get your consent before transcription.
Respond to user support requests.
Healflow does not record or store video or audio.
Healflow App for iOS
Terms apply between you and Healflow only, not Apple.
You must comply with Apple’s App Store Terms.
Apple is not obligated to support or maintain third-party apps.
Apple disclaims warranties on third-party apps.
Apple handles claims related to its platform.
You warrant you are not in restricted countries or on prohibited party lists.
You must comply with wireless carrier terms.
Apple and subsidiaries are third-party beneficiaries of these Terms.
Healflow App for iOS
Terms apply between you and Healflow only, not Google.
You must comply with Google Play Terms.
Google is only the app marketplace provider, and a third-party beneficiary.
Third-Party Services
You may access links to third-party websites or resources at your own risk.
Healflow is not responsible for content, accuracy, legality, or damages related to third-party services or goods.
Links do not imply endorsement by Healflow.
Termination
Healflow may terminate or suspend your access at any time, with or without cause or notice.
Termination may cause loss or destruction of account data.
Certain terms (licenses, warranties, indemnification, limitations) survive termination.
Warranty Disclaimer
Healflow has no fiduciary duty to you and no obligation to act regarding your access or content.
Services and content are provided “as is” without warranties, express or implied (including merchantability or fitness for a purpose).
Healflow does not guarantee availability, error correction, security, or virus-free content.
Use is at your own risk.
Indemnification
You agree to defend and hold harmless Healflow and its affiliates from claims arising from your misuse or violations of these Terms, or infringement of third-party rights.
Healflow may take control of legal defense, and you will assist.
Limitation of Liability
Healflow and affiliates are not liable for indirect, incidental, consequential, punitive, or special damages (e.g., lost profits, data loss, business interruption).
Aggregate liability under these Terms is capped at $100.
Some jurisdictions may limit these exclusions.
Digital Millennium Copyright Act (DMCA) Notice
To report copyright infringement, submit a notice with required details (signature, identification of copyrighted work, infringing material, contact info, good faith statement).

Governing Law and Jurisdiction
Terms governed by Indian law.
Disputes are resolved exclusively in state courts in Haryana, India.
Modification of Terms
Healflow may modify or replace Terms anytime with notice via website or email.
Your continued use after changes means acceptance.
You should check Terms periodically.
Entire Agreement and Severability
These Terms constitute the entire agreement between you and Healflow.
If any provision is invalid or unenforceable, the rest remain in effect.
Failure to enforce a right is not a waiver.
Force Majeure
Healflow is not liable for failures due to causes beyond reasonable control (e.g., technical failures, outages).
Assignment
Your rights under these Terms are personal and not transferable without Healflow’s consent.
Healflow may assign rights without your consent.
Agency
No agency, partnership, or employment relationship is created by these Terms.
Neither party can bind the other.
Notices
Notices to Healflow must be in writing and sent via certified mail, email, or overnight delivery.
Notices to you will be sent by mail or email.
